VP, Advisory and Contract Execution - Prime Brokerage and ISDA Negotiation
Description
This role is for a Vice President on the Advisory and Contract Execution Team at TD Securities. The team delivers superior service to business partners within TD Bank Financial Group by negotiating and executing agreements for capital markets trading products. The primary responsibility of the position is to prepare and negotiate legal documentation, such as Prime Brokerage Agreements and ISDA Master Agreements, with global counterparties. The goal is to ensure the Bank is adequately protected from legal, risk, and operational standpoints in all trading documents and to maintain strong relationships with stakeholders while managing deal flow under tight deadlines.
What We're Looking For
Ensure the Bank is protected from legal, risk, and operational perspectives in all trading documents and other legal documentation.,Build and maintain strong relationships with all stakeholders across the Bank and manage deal flow with tight deadlines from global desks.,Lead negotiations of various trading agreements including Prime Brokerage Agreements, Term Commitment Agreements, ISDA Master Agreements, CSAs, Master Confirmation Agreements, Regulatory IM Documents, Account Control Agreements, and Custody Agreements with diverse counterparties (hedge funds, registered funds).,Lead or participate in internal calls with senior credit officers and front office contacts, and calls with clients and external legal counsel, to discuss negotiation issues.,Liaise and coordinate with internal stakeholders such as Credit, Business, Tax, Legal, Operations, and Collateral Management during the documentation process.,Provide timely updates to the Business on the status of negotiations.,Support internal initiatives related to documentation, process automation, and regulatory compliance.
Ideal Candidate
Law degree (J.D. required),5+ years of solid legal, trading documentation, capital markets, origination or related experience,New York Bar Admission preferred,6-8 years of experience (either at a law firm or a dealer) preferred,Strong North American prime brokerage negotiation experience,Experience negotiating term commitment agreements and custody agreements,Solid experience negotiating ISDA Master Agreements, Credit Support Annexes, Master Confirmation Agreements, and Account Control Agreements with hedge funds and registered funds,Experience negotiating the full suite of regulatory initial margin documentation
