This role is for a Vice President within the Global Advisory and Client Execution (ACE) team at TD Securities. The primary focus is on preparing, negotiating, and managing a diverse portfolio of capital markets and trading legal agreements with international clients. This client-facing position supports the origination and execution of deals, particularly with ISDA/CSA documentation for rates, commodity, and precious metals, ensuring compliance with legal, risk, and regulatory frameworks. The role requires the ability to manage strict deadlines in a dynamic global markets environment.
Lead the negotiation of global capital markets agreements, ensuring adherence to internal risk, legal, regulatory, and governance frameworks.,Advise global clients during deal origination, concentrating on corporate, commercial, commodities, and precious metals portfolios, including structuring and capital markets agreement requirements.,Participate in client meetings and calls to offer advisory and guidance on capital markets legal agreements.,Provide expert advice to the trading floor regarding trading agreement prerequisites and implications for transactions.,Lead internal and external legal counsel calls to resolve negotiation issues on capital markets agreements.,Prepare and negotiate various capital markets agreements such as ISDA Master Agreements, Credit Support Annexes, Regulatory IM documents, Account Control Agreements, Custody Agreements, repo and securities lending agreements, and specialized documents for precious and base metal transactions.,Liaise and coordinate with Business, Credit, Tax, Legal, Operations, Funding and Valuations, and Collateral Management throughout the origination and negotiation processes.,Manage escalations concerning capital markets agreements to ensure prompt resolution and stakeholder alignment.,Contribute to automation and process improvement initiatives to enhance documentation workflows and regulatory compliance.,Prepare and deliver reports on documentation metrics, project status, and issue tracking.,Act as a trusted point of contact and advisor for internal stakeholders on all matters related to trading documentation.
Law degree required.,Minimum 6+ years of legal and trading documentation experience.,Demonstrated ability to prepare and negotiate capital markets and trading agreements (e.g., ISDA, CSA, repo, metals lease agreements).,Client-facing experience and capability to collaborate with trading desks, senior credit officers, external counsel, and other internal stakeholders.,Strong communication skills.,Ability to work effectively under tight deadlines and across global time zones.,Preferred: 6-8 years of solid legal, trading documentation, capital markets or related experience.,Preferred: Strong knowledge of derivatives across rates, FX, commodity, and metal asset classes.,Preferred: 6+ years in a client-facing role.,Preferred: Self-motivated, with the ability to work independently and collaboratively within a team; high integrity and strong work ethic.,Preferred: Demonstrated management skills and experience delivering results within aggressive timelines.
