Director, Subsidiary Governance

Description

The incumbent will be a key partner to the Subsidiary Governance Office, responsible for overseeing technology and operations, including controls and issues management, governance and reporting of control assessment outputs, and supporting the implementation and enhancement of the SGO's technologies and governance model.

What We're Looking For

Manage and oversee internal and external reviews, including preparation, coordination, and implementation of corrective actions.

Develop, maintain, and enhance subsidiary governance examination protocols and SOX processes.

Design, implement, and maintain the subsidiary governance control framework to ensure compliance with legal/regulatory requirements and RBC policies.

Maintain inventory of subsidiary governance controls and supporting documentation.

Advise on design and operating effectiveness assessments for subsidiary governance controls.

Conduct root cause analysis of control gaps and assess/document planned remediation.

Serve as primary liaison between second/third line functions for control management activities.

Identify, assess, and mitigate operational risks; develop strategies to improve risk monitoring and governance.

Collaborate with stakeholders on process improvements.

Facilitate training and awareness initiatives on the control framework.

Serve as technical expert for all digital governance platforms.

Manage technology vendor relationships and compliance processes.

Support continuous improvement and adoption of technology and digital tools.

Ideal Candidate

Must be a qualified law clerk or paralegal with corporate governance experience.

High level of proficiency in Microsoft Office, Board Portals, and corporate databases, with adaptability to new technologies.

Previous people management experience.

Excellent interpersonal and communication skills (written and oral).

Strong team player with good influencing skills.

Exercises discretion and confidentiality.

Highly organized, able to prioritize and manage multiple tasks with challenging deadlines in a fast-paced and dynamic environment.

Attention to detail and accuracy.

Nice-to-have: Experience in the banking or financial services industry.

Nice-to-have: Project Management skills.
