Saputo Inc. is seeking a Director, Governance and Securities to provide strategic support on matters related to corporate governance, disclosure, and capital markets compliance. The role involves direct exposure to the Board of Directors and offers an international scope, impacting a global publicly listed issuer. Responsibilities include advising on corporate governance best practices, contributing to governance strategy, managing Board and committee documentation, overseeing corporate entities, leading reorganization projects, and developing internal policies. Additionally, the role involves participating in disclosure strategy, advising on securities law, overseeing public disclosure documents, monitoring regulatory developments, and supporting long-term incentive plans. The director will also lead and mobilize a high-performing team and strategically influence senior leaders across the organization.
Act as a strategic advisor to senior management and the Board of Directors on corporate governance best practices.
Actively contribute to the development and evolution of the Company's governance strategy.
Participate in planning the agendas of the Board of Directors and its committees, ensuring strategic alignment.
Oversee the management, organization, and drafting of Board and committee documentation.
Work closely with the CFO on matters under the Audit Committee's mandate and with the CHRO on matters under the Corporate Governance and Human Resources Committee's mandate.
Oversee the management of corporate entities and Saputo Inc.'s global subsidiaries.
Lead corporate reorganization projects.
Contribute to the development, updating, and continuous improvement of internal policies.
Participate in the design and execution of the Company's disclosure strategy.
Advise management on securities law matters and regulatory obligations.
Oversee the preparation of the management proxy circular and the annual information form.
Collaborate in the drafting and review of other public disclosure documents.
Proactively monitor legislative, regulatory, and best‑practice developments in governance and disclosure.
Support the implementation and administration of long‑term incentive plans and employee share ownership plans.
Lead and mobilize a high‑performing team while fostering a culture of excellence, collaboration, and business partnership.
Exercise credible and strategic influence with senior leaders across the organization.
Member of the Québec Bar.
12+ years of experience in corporate and securities law, ideally in a public company or large law firm environment.
Fluency in both French and English.
Excellent communication, drafting, and ability to translate complex concepts into clear guidance.
High level of professional rigor, sound judgment, and discretion.
Ability to thrive in a demanding and constantly evolving environment.
Recognized leadership skills with a proven ability to influence and advise senior management.
Law Degree (implied by 'Member of the Québec Bar')
