This role involves developing detailed financial models for restructuring, financing, and Mergers & Acquisitions (M&A) transactions, participating in client pitches, and conducting extensive due diligence. The Director will also be responsible for reviewing legal documentation, presenting market updates and new ideas to clients, and maintaining internal logs of precedent transactions. Additionally, the role includes training new analysts and interns, developing sector-based knowledge, proactively identifying operational risks, and executing transactions such as Know Your Client (KYC) and preparing committee memos.
Develop detailed financial models (restructuring, financing, M&A).,Participate in pitches and calls with clients.,Complete asset level due diligence on buyer/seller portfolios.,Review legal documentation.,Participate and/or conduct due diligence sessions with companies.,Work with deal team members to develop financial models and pitch book materials, conduct company research, and analyze data to advise corporate clients on M&A transactions and corporate finance offerings.,Present market updates and new ideas to clients (capital markets, M&A, capital raising).,Maintain internal logs of precedent transactions, actively follow M&A deals, calculate premiums paid, and calculate valuations.,Train new analysts and interns on industrial concepts and financial modeling.,Develop sector-based knowledge through research on diligence sector trends.,Proactively identify operational risks/control deficiencies and escalate them.,Execute transactions, including review of legal documents, completing KYC, performing company-level due diligence, and preparing committee memos.,6 years of experience in leading financial modeling and valuation analysis (DCF, accretion/dilution, LBO) across transactions valued at $1bn+.,6 years of experience in conducting precedent transactions and comparable company analyses to support M&A strategy and investment decisions.,6 years of experience in overseeing development of complex financial models, delivering actionable insights.,6 years of experience in partnering with senior bankers, clients, and legal teams on live and prospective transactions.,6 years of experience in creating and presenting pitchbooks and acquisition strategy presentations.,6 years of experience in delivering valuation analyses and financial presentations in internal and external meetings.,4 years of experience in directing end-to-end transaction execution (due diligence, valuation analysis, marketing material preparation, regulatory coordination) across cross-border and domestic deals.,4 years of experience in leading transactions involving both buy-side and sell-side mandates (public market M&A, strategic partnerships, fairness opinions) resulting in $5bn+ in cumulative transaction volume.
Bachelor's degree in Finance, Economics, Business Administration, or a related field.,FINRA Series 63, Series 79 and SIE licenses or the ability to obtain within 6 months of hire.
